British retail conglomerate Frasers Group plans to consolidate operations by lifting its stake in German fashion heavyweight Hugo Boss to 47.89 per cent, positioning the group on the threshold of majority ownership. The increased holding follows the expiration of a voluntary cash tender offer priced at €38  per share, valuing the transaction at approximately €1.93 billion. Despite firm resistance from Hugo Boss executive and supervisory boards - who previously dismissed the proposal as financially inadequate - market acceptance from minority shareholders has successfully handed billionaire Mike Ashley's retail empire a dominant voting block. Axel Rudolph, an analyst at trading platform IG, noted that the increased shareholding places Frasers firmly in the driver's seat to scale up corporate influence across the European luxury apparel segment.

The aggressive accumulation of equity unfolds as Hugo Boss navigates a challenging three-year operational overhaul under its Claim 5 Touchdown strategy, designed to optimize distribution and enhance brand resilience against a sluggish macroeconomic backdrop. While corporate management previously urged investors to reject the takeover attempt, supervisory board chairman Stephan Sturm emphasized that the enterprise intends to maintain a constructive relationship with its largest single shareholder.
